Web Site Design Contract
 

2. Relationship: Network31 is acting as an independent contractor, and is not acting as an employee of Client. 

3. Package Choice: Web site packages are available in varying sizes and prices, ranging from the Basic Three page site, up to 100's-of pages. For a detailed list of features available and prices please refer to Web Site Design and Hosting

4. Web Site Features Included: The following features are included, with some exceptions as noted. 

• Consultation - ______ hours of consultation time, in which time Network31 shall determine Client's needs and goals. Consultations may take place by phone, e-mail or in person, at Network31's discretion. Long distance phone charges and travel costs are not included, and will be added to package price.
• Text - Up to 180 words per page, provided by Client. Client hereby grants permission for Network31 to place "Web site design by Network31" at the bottom of home page, and copyright information at the bottom of every page, with a link to Network31's home page.
• Graphics - Home page Masthead, top-of-page graphic with navigation bar, plus background texture or color, bullets, and dividers. Graphics and photos shall be provided by Client. If more graphics are requested by Client, they can be added at a cost of $5.00 per scanned graphic. If custom graphics or backgrounds are requested, Network31 design time will be billed at $50.00/hour.
• Links - Up to two (12) links to external sites per page. E-mail link to Client's address provided on each page. E-mail address for contact: _____________________________
• Hit Counter* - Home page hit counter for monitoring number of hits on the site. Free
• Form* - Form for viewer feedback, requests for information, surveys. Form will send formatted results to e-mail address of Client's choice. $50.00 per form.
• Search* - Page for viewer to search Client's entire Web site for keywords. $25.00 per engine.
• Navigation Map - Hyperlinked index of entire site for ease in navigation. $15.00
• Marketing - Submission to ______ search engines, including, but not limited to, Yahoo, Alta Vista, Hotbot, Lycos, Excite and OpenText.

5. Hosting: Hosting of Web site is available through the Network31. If Client chooses to host the new Web site with Network31, the address will be

       Network31 will move the Client's web site to an external hosting service of Client's choice. Client is responsible for all charges associated with setting up and maintaining the external hosting service. Client will be billed separately by their external hosting service and are not included here.

6. Internet Service Providers:  If Client does not host Web site with Network31, Client understands that other Internet Service Providers may require a separate contract to host the site. 

7. Ongoing Maintenance: For Clients hosting their sites with the Network31 maintenance is billed at $25.00/hour. For Clients hosting their sites with external hosting services, all maintenance is billed at $75.00/hour.

8. Custom Features: Client has requested these custom features, which will be billed as follows: _______________________________________________________________________

9. Changes: If Client requests substantial changes to text and/or graphics after construction of the Web site, time required to make these changes will be billed at $50.00/hour  "Substantial changes" are defined as changes requiring more than one half hour to complete. 

10. Time Frame: Client and Network31 agree to work together diligently toward the completion of this project. Estimated date of completion is ___________________. Client understands that if changes are made to the original work specifications, this date may be impacted. 

11. Subcontractors: Network31 reserves the right to subcontract portions of this project to expedite completion. 

12. Disclaimer: Regardless of service provider chosen, Network31 is not responsible for quality or reliability of any Internet Service Providers. Network31 does not warrant that the operation of this Web site will be uninterrupted or without error. Further, Network31 is not responsible to Client or any third party for damages of any kind arising out of the operation or inability to operate this Web site. 

13. Copyrights: Client hereby unconditionally guarantees that all text, graphics, photos, trademarks, designs and any other materials provided to Network31 by the Client are either owned by the Client or used by permission of the owners of said materials. Client agrees to hold harmless, protect and defend Network31 from any claim or suit arising from the use of these materials. Similarly, Network31 warrants that all graphics and text used in the construction of the site are either owned by Network31 or used with permission.

14. Web Site Copyright: Copyright to all Web pages in this site, including custom graphics, text and design layout, is held by Network31. Materials such as CGI programs which were not originally created by Network31 remain the property of their respective owners and shall be for Client's use only. 

15. Payment: Payment for Web site design shall be made in two installments: 50% is due at contract signing, 50% is due when the site is complete, per Client's original written specifications. Publication of the site, substantial changes, and submission to search engines will occur upon receipt of second installment. 

Payment for Web hosting is as follows: Three months of fees plus a deposit equaling one months fee is due in advance to publish the site. Network31 will invoice quarterly in advance for hosting fees. Written notice is required to terminate hosting service. Upon notification of termination, deposit will be used to pay for any final fees.

All payments to be made in US Funds.

If payments for design or hosting are not received within 30 days of due date, Network31 will suspend or remove the Web Site from our server Client agrees to pay all costs incurred. For the purposes of venue, this contract was entered into in  Morris County, New Jersey, and any arbitration or litigation will take place in this county.

17. Entire Contract: All prior agreements between the parties are incorporated in this agreement, which constitutes the entire contract. Its terms are intended by the parties as a final, complete, and exclusive expression of their agreement with respect to its subject matter and may not be contradicted by evidence of any prior agreement or contemporaneous oral agreement. This agreement may not be extended, amended, modified, altered, or changed in any respect whatsoever except in writing signed by both parties.
